Welcome to Managed Tasks (mtasks.io), a multi-tenant task management and workflow automation platform designed for managed service providers, accounting firms, and professional services organizations.

These Terms of Service (“Terms”) govern your access to and use of the mtasks.io website, platform, API, and related services (collectively, the “Service”). By creating a tenant account, accessing the Service, or inviting users to your workspace, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Account and Tenant Structure

1.1. Tenant and User Accounts. The Service operates on a multi-tenant architecture. The entity purchasing the subscription is the “Tenant.” A Tenant may invite staff, contractors, and clients (collectively, “Users”) to access their workspace. Users authenticate via supported Single Sign-On (SSO) providers or magic links.

1.2. Practitioner Portability. Users maintain a global identity on mtasks.io. A User holding their own paid Practitioner subscription may be invited as a guest into another Tenant's workspace without consuming a paid seat in that Tenant's subscription, subject to the host Tenant's access controls.

1.3. Responsibility for Users. The Tenant is fully responsible for the actions, omissions, and compliance with these Terms by all Users they invite into their workspace, including ensuring they have the legal right to share any data with those Users.

2. Subscription, Billing, and Tiers

2.1. Free Trial and Paid Subscriptions. We may offer a free trial period. Upon expiration of the trial, access to the Service requires a paid subscription. Subscriptions are billed on a Platform Fee plus Per-Active-Seat model, varying by tier (Starter, Pro, White-Label).

2.2. Payment Processing. All payments are processed securely via our third-party payment processor (Stripe). You authorize us to charge your provided payment method on a recurring basis. Fees are non-refundable except as required by law.

2.3. Tier Downgrades and Data. If you downgrade your tier or a subscription lapses, you will lose access to premium features (e.g., API access, white-label domains, MCP integrations). We do not delete your data upon downgrade, but it will be subject to read-only access until the account is brought current.

3. Data Privacy, Security, and Compliance

3.1. Dual Role (Controller and Processor). Regarding your account and billing information, mtasks.io acts as a Data Controller. Regarding the client data, files, and tasks you upload to the Service, mtasks.io acts strictly as a Data Processor on your behalf. Our handling of personal data is governed by our Privacy Policy and the Data Processing Agreement (DPA) presented during signup, which is incorporated herein by reference.

3.2. Tenant Isolation. All data is logically isolated at the database level using row-level security policies. Cross-tenant data access is architecturally impossible under normal operation.

3.3. Encryption. All data is encrypted in transit (TLS 1.3) and at rest (AES-256). Sensitive secrets (API keys, tokens) are stored in Azure Key Vault with hardware-backed encryption.

4. Acceptable Use and Security

You agree not to:

Use the Service for any illegal, harmful, or fraudulent activities.
Attempt to bypass or circumvent tenant isolation or other security mechanisms.
Upload malicious code, malware, or content that infringes on third-party intellectual property.
Abuse the email notification system to send spam. We monitor outbound volume; excessive bounce or complaint rates may result in immediate suspension of your sending privileges or account.
Exceed the API rate limits associated with your tier.

5. Artificial Intelligence (AI) Features

5.1. Native AI and MCP. The Service includes native AI features (e.g., email drafting, task extraction) and supports external AI integration via the Model Context Protocol (MCP). Native AI features consume “AI Credits” allocated to your tier.

5.2. Zero Retention and Human Review. Native AI features are powered by providers under zero-retention agreements; your data is not used to train underlying models. However, AI-generated content may be inaccurate. You agree that a human must review and approve all AI-generated outbound client communications before sending. We provide no warranties regarding the accuracy, reliability, or professional suitability of AI-generated output.

6. White-Label and Reseller Terms

If you subscribe to the White-Label tier, you may configure custom domains, branding, and sender email addresses. You are solely responsible for managing the DNS records required for these features. You may not represent mtasks.io as your own proprietary software to investors or acquirers without explicit written permission.

7. Termination and Data Export

7.1. Termination by You. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle.

7.2. Data Export and Deletion. Upon termination, you have a 30-day window to export your data (JSON/CSV) and attachments. After 30 days, we will permanently delete your tenant data in accordance with our data retention schedule, utilizing pseudonymization tombstoning for immutable audit logs to comply with privacy laws.

8. Limitation of Liability and Indemnification

8.1. “As Is” Service. The Service is provided “as is” and “as available.” While we employ zero-downtime deployment architectures and robust disaster recovery mechanisms, we disclaim all warranties, express or implied, including fitness for a particular purpose.

8.2. Limitation of Liability. To the maximum extent permitted by law, mtasks.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability arising out of these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8.3. Indemnification. You agree to indemnify and hold mtasks.io harmless from any claims, damages, or legal fees arising from your breach of these Terms, your violation of privacy laws regarding your clients' data, or your failure to secure necessary consents.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

10. Modifications

We may modify these Terms occasionally. We will notify you of material changes via email or an in-app notification. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
